The remuneration for the members of the Supervisory Board is laid down in Section 14 of the Articles of Association of Deutsche Lufthansa AG. It is in force since the financial year 2023 and is purely fixed.
The Annual General Meeting on May 9, 2023 approved and confirmed the remuneration of the members of the Supervisory Board in the proposed new version of Sec. 14 of the Articles of Association, including the system on which this remuneration is based, with a majority of 98.27%.
In accordance with Section 14 Paragraph 1 of the Articles of Association, for each financial year ordinary Supervisory Board members receive remuneration of EUR 100k. The Chair receives EUR 300k, and the Deputy Chair EUR 150k. The Chair of the Audit Committee receives an additional EUR 100k and other members of the Audit Committee receive an additional EUR 50k. The Chair of the Steering and Remuneration Committee receives an additional EUR 100k and other members of the Steering and Remuneration Committee receive an additional EUR 50k. Chairs of other committees receive an additional EUR 50k and other members of other committees receive an additional EUR 25k. Remuneration for committee work is subject to the proviso that the committee must have met at least once in the financial year. Furthermore, the additional remuneration for committee work is limited to a maximum of two committee remunerations, in which case the two highest committee remunerations in terms of amount are taken into account.
If Supervisory Board members leave the Supervisory Board or one of its committees for which additional remuneration is paid during the course of a financial year, they receive the respective remuneration pro rata temporis. Pro rata temporis remuneration for committee work is subject to the proviso that the committee must have met at least once before their departure.
